1. OWNERSHIP OF CREATIVE WORKS
Unless otherwise expressly agreed in writing, all photographs, videos, drone footage, edits, graphics, visual compositions, branding materials, concepts, media deliverables, and creative assets produced by bits&pieces Visual Media remain the exclusive intellectual property of Bits & Pieces Creative LLC.
This includes:
raw footage,
unedited media,
edited deliverables,
previews,
drafts,
behind-the-scenes content,
cinematic treatments,
color grading,
visual effects,
layouts,
social media edits,
and derivative creative works.
No transfer of copyright ownership occurs unless explicitly executed in a signed written agreement.

2. LIMITED USAGE LICENSE
Upon full payment, Clients receive a limited, non-exclusive, non-transferable, revocable usage license for approved purposes only.
Permitted usage may include:
business marketing,
website usage,
approved advertising,
social media posting,
internal promotional use,
and related commercial presentation purposes.
All usage rights remain subject to these policies and any project-specific agreement.

3. RESTRICTIONS ON USE
Clients and third parties may NOT:
resell media,
sublicense content,
transfer rights,
claim authorship,
substantially alter deliverables,
remove branding or notices,
train AI systems using Company media,
manipulate media through generative AI,
create derivative works,
or commercially redistribute content
without prior written authorization from Bits & Pieces Creative LLC.

4. ALTERATIONS & EDITING
No substantial edits, modifications, filters, compositing, cropping, AI manipulation, color changes, overlays, or derivative alterations may be applied to Company-produced content without prior written consent.
This policy exists to:
protect creative integrity,
preserve brand standards,
maintain quality control,
and prevent reputational harm.
Minor platform formatting adjustments for standard social media posting are generally permitted unless otherwise restricted.

5. RAW FILES & PROJECT FILES
Unless specifically purchased or agreed otherwise:
RAW files,
project files,
layered edits,
source footage,
timelines,
and production assets
remain exclusively owned by the Company and are not included in standard deliverables.
Release of source materials is solely at Company discretion and may require additional licensing fees.

6. NON-PAYMENT & LICENSE REVOCATION
Usage rights become valid only after full payment is received.
Failure to satisfy payment obligations may result in:
immediate revocation of usage rights,
takedown demands,
suspension of licenses,
legal enforcement,
arbitration proceedings,
copyright claims,
and collection activity.
Continued use after revocation constitutes unauthorized infringement.
The Client agrees to reimburse all legal, arbitration, enforcement, and collection-related costs incurred by the Company.

7. PORTFOLIO & PROMOTIONAL RIGHTS
Unless otherwise agreed in writing, Bits & Pieces Creative LLC retains unrestricted rights to display, reproduce, publish, distribute, and promote completed project materials for:
portfolio presentation,
website display,
social media,
advertising,
industry showcases,
marketing campaigns,
promotional demonstrations,
and creative exhibitions.
This includes use of:
still images,
edited videos,
behind-the-scenes content,
excerpts,
thumbnails,
and derivative promotional edits.

8. CONFIDENTIALITY & RESTRICTED PROJECTS
Clients requesting:
confidentiality,
non-disclosure,
restricted publication,
embargoed media,
private aviation discretion,
or confidential commercial handling
must obtain written approval in advance.
Additional confidentiality fees, agreements, or licensing limitations may apply.
The Company reserves the right to decline confidentiality arrangements at its sole discretion.

9. AI-ASSISTED & DIGITAL CREATIVE WORKFLOWS
Certain deliverables, branding materials, conceptual visuals, or creative assets may incorporate:
AI-assisted enhancement,
digitally generated elements,
composite imagery,
automated editing systems,
machine-assisted workflows,
or generative creative technologies.
The Company retains all proprietary rights regarding:
creative direction,
composition,
branding integration,
visual presentation,
artistic arrangement,
and final assembled deliverables.

10. THIRD-PARTY LICENSING
Certain projects may incorporate:
licensed music,
stock assets,
fonts,
sound effects,
overlays,
plugins,
or third-party licensed materials.
Such materials remain subject to their respective licensing terms.
The Client is responsible for obtaining any additional public usage, broadcast, advertising, or extended licensing permissions beyond the scope provided by the Company.

11. NO EXCLUSIVITY
Unless expressly stated in writing:
licenses are non-exclusive,
creative concepts may inspire future works,
and the Company retains freedom to produce similar styles, aesthetics, edits, or creative approaches for other clients.

12. LIMITATION OF LIABILITY
Bits & Pieces Creative LLC shall not be liable for:
misuse of deliverables,
unauthorized third-party copying,
platform compression,
social media alterations,
copyright disputes arising from Client misuse,
or damages resulting from unauthorized modification or redistribution.
Maximum liability shall never exceed the amount paid for the affected project.

13. ENFORCEMENT
The Company reserves the right to:
pursue legal remedies,
issue takedown notices,
initiate arbitration,
seek injunctive relief,
recover damages,
and enforce intellectual property rights
to the fullest extent permitted under applicable law.

14. GOVERNING LAW
This Policy shall be governed exclusively by the laws of the State of Texas.
All disputes shall be resolved through binding arbitration in Travis County, Texas.
