1. ACCEPTANCE OF TERMS
By booking, accessing, using, purchasing, requesting, or otherwise engaging with services provided by bits&pieces Visual Media (“Company,” “we,” “our,” or “us”), the client (“Client,” “you,” or “your”) agrees to be legally bound by these Terms & Conditions.
bits&pieces Visual Media is a creative media brand operated by Bits & Pieces Creative LLC, a Texas limited liability company.
If you do not agree to these Terms, you must not use our services or website.

* Product Photography
* Corporate Event Coverage
* Commercial Media Production
* Post-Production Editing
* Creative Consulting
All services are subject to availability, operational feasibility, legal compliance, weather conditions, and Company approval.

3. BOOKINGS & PROJECT APPROVAL
Submission of inquiries, consultations, quote requests, or project discussions does not guarantee acceptance of any project.
The Company reserves the right to refuse, decline, cancel, terminate, or discontinue services at its sole discretion, including but not limited to projects involving:
* Unsafe conditions
* Illegal activity
* Harassment
* Hostile environments
* Reputational risk
* FAA restrictions
* Operational limitations
* Client misconduct

4. PAYMENT TERMS
Standard Projects
Payment is generally due prior to final delivery of media assets unless otherwise agreed in writing.
Commercial / Enterprise Projects
The Company may offer:
* Retainers
* Milestone billing
* Invoice terms
* Custom payment structures
at its sole discretion.
Late Payments
Late payments may result in:
* Delayed delivery
* Suspension of services
* Revocation of usage rights
* Collection actions
* Legal enforcement
The Client agrees to reimburse all reasonable legal fees, arbitration costs, collection expenses, and enforcement-related costs incurred by the Company.

5. DEPOSITS & RETAINERS
Where applicable:
* Retainers secure scheduling availability
* Retainers may be partially or fully non-refundable
* Cancellation timing may affect refund eligibility
Specific project agreements may override default policies.

6. CANCELLATIONS & RESCHEDULING
Client Cancellation
* More than 72 hours notice: partial refund or rescheduling may be offered
* Less than 72 hours notice: fees and retainers may become non-refundable
* Same-day cancellations may incur additional cancellation fees
Company Rescheduling
The Company reserves the right to reschedule due to:
* Weather
* Safety concerns
* FAA restrictions
* Equipment failure
* Illness
* Force majeure events
* Operational limitations

7. DELIVERY TIMELINES
Estimated delivery timelines are approximate and not guaranteed.
Typical delivery:
* Small projects: approximately 2–3 business days
* Larger productions: variable depending on scope
Expedited delivery may be available at additional cost.

8. REVISIONS
Unless otherwise stated in writing:
* One (1) revision round is included
* Additional revisions are billable
* Excessive revision requests may require a new agreement
The Company retains final creative discretion.

9. COPYRIGHT & OWNERSHIP
ALL media, footage, photographs, videos, edits, graphics, concepts, deliverables, and creative works produced by the Company remain the sole intellectual property of Bits & Pieces Creative LLC unless expressly transferred in writing.
Clients DO NOT purchase ownership rights.
Clients purchase a limited usage license only.

10. LICENSED USAGE RIGHTS
Upon full payment, the Client receives a limited, non-transferable, revocable usage license for approved purposes.
The Client may NOT:
* Resell media
* Transfer rights
* Re-license content
* Alter media substantially
* Apply AI manipulation
* Remove branding/watermarks unlawfully
* Claim authorship
without prior written consent.

11. PORTFOLIO & PROMOTIONAL RIGHTS
Unless otherwise agreed in writing, the Company retains the unrestricted right to display, publish, promote, distribute, reproduce, and showcase project materials for:
* Portfolio use
* Website display
* Social media
* Marketing campaigns
* Advertising
* Industry submissions
* Demonstration purposes
Clients requesting confidentiality, non-disclosure, or restricted publication rights must obtain written approval in advance.
Additional confidentiality fees may apply.

12. NON-PAYMENT CONSEQUENCES
Failure to satisfy payment obligations may result in:
* Revocation of usage licenses
* Demand for immediate removal of content
* Suspension of services
* Legal enforcement
* Arbitration proceedings
* Collection action
Unauthorized use following revocation constitutes copyright infringement.

13. DRONE OPERATIONS & FAA COMPLIANCE
Drone-related services may be:
* pending operational approvals,
* conducted through FAA-compliant operations,
* coordinated through licensed operators,
* or subject to legal restrictions.
The Company reserves the right to refuse or discontinue drone operations due to:
* FAA restrictions
* Unsafe conditions
* Weather
* Restricted airspace
* Property limitations
* Safety concerns
Drone availability is not guaranteed.

14. CLIENT RESPONSIBILITIES
The Client is responsible for:
* obtaining required permissions,
* securing property access,
* ensuring lawful project conditions,
* providing accurate project information,
* maintaining safe environments.
The Company assumes no liability for unauthorized property access or Client misrepresentations.

15. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
Bits & Pieces Creative LLC shall not be liable for:
* indirect damages,
* business interruption,
* reputational harm,
* lost profits,
* consequential damages,
* missed opportunities,
* data loss,
* third-party claims,
* operational delays,
* weather-related impacts,
* FAA restrictions,
* platform outages,
* or force majeure events.
Maximum liability shall never exceed the total amount paid by the Client for the affected project.

16. AI & DIGITAL PROCESSING
The Company may utilize:
* AI-assisted editing,
* automated enhancement tools,
* generative technologies,
* software-based workflows,
* digital compositing,
* advanced processing methods
as part of creative production.
Final deliverables may vary from conceptual references or previews.

17. WEBSITE USE
Users may not:
* scrape content,
* reproduce materials,
* reverse engineer assets,
* misuse forms,
* spam communications,
* infringe intellectual property,
* or use the website unlawfully.
All website content remains protected intellectual property.

Use of the website and services is additionally governed by the Company Privacy Policy.
The Company may collect:
